Functions and Duties
GECELCA’s main corporate purpose is the provision of public services in the generation and marketing of energy and fuels, as well as the provision of related, complementary services inherent to and related to these public service activities, in accordance with the legal and regulatory framework.
The Company, in the development of its corporate purpose, may carry out activities such as exploration, exploitation, processing, transformation, marketing, and transportation, as well as auction, acquire, or license any class of energy minerals. The direction and administration of the company are exercised, within its legal and statutory competences, by the following bodies:
The General Shareholders’ Meeting is composed of the individuals registered in the company’s share register book.
The functions and responsibilities of the General Shareholders’ Meeting of GECELCA are those defined by law and in the company’s Articles of Incorporation.
The Board of Directors is composed of seven (7) main members, elected by the General Shareholders’ Meeting for a one (1) year term, without prejudice to their indefinite re-election or removal at any time.
The functions and responsibilities of the Board of Directors are those established by law and in the Articles of Incorporation.
The President is in charge of the administration of the Company, its legal representation, and the management of its business, with the number of substitutes determined in the Articles of Incorporation, who replace him in case of temporary or permanent absences. The President has a voice in Board of Directors meetings but no vote in its decisions. The functions and responsibilities of the President are those defined in Article 49 – Functions of the President of the Company in the Company’s Articles of Incorporation.

Vice Presidencies
Within the company’s hierarchical structure, the Vice Presidencies are responsible for the strategic direction of the Vice Presidency in relation to the environment. They are responsible for human talent development and labor relations, corporate social responsibility, and the generation of value for the company, with the goal of ensuring high levels of effectiveness that allow for favorable results for the company, in accordance with the current laws and regulations.
Directorates
The Directorates are responsible for directing, planning, and efficiently and effectively controlling the responsibilities of the position, in accordance with the current legislation and regulations, ensuring the reliability, quality, and safety of operations.
Managements
The Managements are responsible for planning, coordinating, and executing the policies, strategies, and programs related to the position, with the purpose of optimizing existing processes in accordance with the current legislation and regulations.

GECELCA is a mixed public utilities company, whose applicable legal regime in contractual matters is that provided in Law 142 of 1994, meaning its acts and contracts are governed by private law (Sentence C-736 of 2007).
As a result, the contracting regime applicable to the company is private law and is not subject to the state contracting regime established in Laws 80 of 1993 and 1150 of 2007. Therefore, it has its own Contracting Regulations, which are aligned with the principles of administrative function and fiscal management outlined in Articles 209 and 267 of the Political Constitution.
